Terms & Conditions of Service

IMPORTANT: Please read these Terms and Conditions carefully before purchasing or using any RTK USA service. By creating an account, completing a purchase, or using our NTRIP correction services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Parties and Acceptance of Terms

These Terms and Conditions ("Agreement") constitute a legally binding contract between txDroneCo, LLC, a Texas limited liability company doing business as RTK USA ("RTK USA," "we," "us," or "our"), and the individual or entity subscribing to or using our services ("Customer," "you," or "your").

You accept this Agreement by any of the following actions:

Creating an account on rtkusa.com
Completing a subscription purchase or free trial activation
Accessing or using NTRIP correction credentials issued by RTK USA
Clicking "I Agree" or a similar acceptance mechanism on our platform

If you are accepting these Terms on behalf of a company, organization, or government entity, you represent and warrant that you have authority to bind that entity to this Agreement.

2. Description of Services

2.1 Nature of Service

RTK USA provides subscription-based access to Real-Time Kinematic (RTK) GNSS correction data delivered via the NTRIP (Networked Transport of RTCM via Internet Protocol) standard. Our correction network is sourced from the GEODNET reference station network.

RTK USA operates as a value-added reseller and correction data relay. We do not own or operate the underlying reference station infrastructure. The availability and quality of correction data is therefore dependent in part on the upstream GEODNET network and its base stations.

2.2 What We Provide

NTRIP credentials (username and password) for accessing our correction caster
Access to RTK correction streams (RTCM 3.x format) from our network
Customer account management via rtkusa.com
Subscription billing and plan management
Technical support via our published support channels

2.3 What We Do Not Provide

RTK USA does not provide:

GNSS receivers, rovers, drones, survey equipment, or any hardware
Surveying, engineering, mapping, or professional services
Accuracy guarantees for any specific application or use case
A dedicated or private reference station network
Real-time monitoring or notification of correction outages

3. Subscriptions, Billing, and Payment

3.1 Subscription Plans

RTK USA offers subscription plans as described on our pricing page at rtkusa.com. Plan features, pricing, and coverage areas are subject to change with reasonable notice.

3.2 Billing Cycles and Auto-Renewal

Subscriptions are offered on a monthly or annual basis. ALL SUBSCRIPTIONS AUTO-RENEW AUTOMATICALLY at the end of each billing period unless cancelled by the Customer prior to renewal. By subscribing, you authorize RTK USA (via its payment processor, Stripe) to charge your payment method on file at the then-current subscription rate on each renewal date.

3.3 Credentials Per Subscription

Each subscription includes one (1) set of NTRIP credentials (one username and password). Each credential set is licensed for use on a single connection at a time. Concurrent connections using the same credentials are prohibited unless you have purchased a plan that explicitly allows multiple simultaneous connections.

3.4 Payment Failure

If a payment fails, we will attempt to notify you via the email address on file. If payment cannot be collected within five (5) days of the renewal date, your subscription and associated credentials may be suspended or terminated without further notice.

3.5 No Refund Policy

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. We do not offer refunds, credits, or prorated billing for partial billing periods, unused service, or service interruptions unless required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current paid billing period, and you will retain access to your credentials through that date.

How to Cancel: Log in to your account at rtkusa.com, navigate to Subscription Settings, and select Cancel Subscription. Cancellation is effective at the end of the current billing period. Contacting support does not constitute cancellation.

3.6 Price Changes

RTK USA reserves the right to change subscription pricing. We will provide at least thirty (30) days advance notice of any price increase before it applies to your renewal. Your continued use of the service after a price change constitutes acceptance of the new pricing.

3.7 Taxes

Prices listed do not include applicable sales, use, or other taxes. You are responsible for all taxes applicable to your subscription based on your jurisdiction.

4. Credential Use and Acceptable Use Policy

4.1 Single-User License

Your NTRIP credentials are licensed solely for your personal or business use as described in your subscription plan. Each credential set is for use by a single user or device at a time. You are responsible for maintaining the security and confidentiality of your credentials.

4.2 Prohibited Uses

You agree that you will NOT use RTK USA services or credentials to:

Share, resell, sublicense, transfer, or give access to your credentials to any third party, whether for compensation or free of charge
Allow multiple simultaneous connections using a single credential set (unless your plan explicitly permits this)
Reverse engineer, decompile, reconstruct, extract, or attempt to derive the underlying network data, reference station positions, or correction algorithms
Copy, redistribute, or rebroadcast RTK USA correction streams to third parties
Use the service in connection with manned aviation operations
Attempt to circumvent, disable, or interfere with any security, authentication, or access controls on the RTK USA network
Use the service in any manner that violates applicable federal, state, or local law or regulation
Use the service in any way that imposes an unreasonable or disproportionate load on our infrastructure

4.3 Consequences of Credential Abuse

RTK USA monitors connection activity for abuse patterns, including but not limited to simultaneous connections, unusual data volumes, and unauthorized redistribution. Violation of this Section 4 may result in immediate suspension or termination of your account without refund.

5. Disclaimer of Warranties and Service Limitations

5.1 No Accuracy Guarantee

RTK USA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, PRECISION, RELIABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE OF THE CORRECTION DATA PROVIDED. RTK CORRECTION DATA IS PROVIDED "AS IS" AND "AS AVAILABLE." The actual position accuracy achieved depends on factors outside our control, including but not limited to:

The Customer's GNSS receiver hardware and firmware
Rover antenna type, placement, and quality
Atmospheric conditions, multipath, and signal obstructions
Distance from the nearest reference station
The GNSS software used to process corrections
Network connectivity and latency between the Customer and our servers

5.2 No Uptime Guarantee

RTK USA does not guarantee uninterrupted or continuous availability of its correction service. Service may be interrupted due to scheduled maintenance, upstream network outages (including GEODNET reference station outages), server maintenance, internet infrastructure failures, or other events beyond our control. We will make commercially reasonable efforts to maintain service availability but provide NO SERVICE LEVEL AGREEMENT (SLA) OR UPTIME GUARANTEE of any kind.

5.3 Upstream Dependency

Because RTK USA's correction data is sourced from the GEODNET network, changes to GEODNET's service, network coverage, data rights agreements, or operations may directly affect the availability or quality of our service. RTK USA shall have no liability for service changes or interruptions resulting from changes to GEODNET's operations or our upstream data agreement.

5.4 No Professional Services

RTK USA correction data does not constitute licensed surveying, engineering, mapping, or geospatial professional services. Customers who require legally defensible survey results, cadastral surveys, construction staking, or other regulated activities must engage a licensed professional who is responsible for the methods, equipment, and accuracy of their work.

Important Notice for Professional Use: If you are using RTK corrections for surveying, construction, precision agriculture, or other applications where positional accuracy has legal, safety, or financial significance, you are solely responsible for verifying positional accuracy and for all professional and regulatory compliance requirements applicable to your work.

6. Limitation of Liability

6.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RTK USA, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, business, or goodwill
Costs of substitute services
Damages arising from positional errors, data inaccuracies, or service interruptions
Damages arising from your reliance on correction data for any professional, commercial, or safety-critical application

THE FOREGOING APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF RTK USA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.2 Cap on Direct Damages

RTK USA's total cumulative liability to you for any and all claims arising out of or relating to this Agreement or the services, regardless of the form of action, shall not exceed the greater of: (a) the total subscription fees paid by you to RTK USA in the three (3) calendar months immediately preceding the event giving rise to the claim, or (b) fifty dollars ($50.00 USD).

6.3 Essential Basis of Bargain

You acknowledge that RTK USA has set its pricing and entered into this Agreement in reliance upon the limitations of liability and disclaimers set forth in this Agreement, and that those limitations reflect a reasonable and fair allocation of risk between the parties. These limitations are an essential element of the basis of the bargain between the parties.

7. Indemnification

You agree to defend, indemnify, and hold harmless txDroneCo, LLC d.b.a. RTK USA and its members, managers, officers, employees, agents, contractors, and successors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of RTK USA services
Any reliance on correction data for surveying, construction, agricultural, drone, or other professional or commercial applications
Your violation of this Agreement
Your violation of any applicable law, regulation, or third-party rights
Credential sharing or misuse by you or any party to whom you granted access

8. Account Suspension and Termination

8.1 Termination by Customer

You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of the current paid billing period, after which your credentials will be deactivated.

8.2 Termination by RTK USA

RTK USA reserves the right to suspend or terminate your account and credentials immediately and without refund if:

You violate any provision of this Agreement, including the Acceptable Use Policy in Section 4
You fail to pay subscription fees when due
RTK USA determines, in its sole discretion, that your use poses a security risk or adverse impact on other customers or the network
RTK USA is required to do so by law, regulation, or order of a government authority

8.3 Effect of Termination

Upon termination for any reason: (a) your credentials will be immediately deactivated; (b) your right to access the service ceases; (c) any accrued fees remain due; (d) Sections 5, 6, 7, 9, 10, and 11 of this Agreement survive termination.

9. Intellectual Property

All correction data, network infrastructure, software, website content, and other materials provided by RTK USA are the proprietary property of RTK USA or its licensors (including GEODNET). Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the correction data solely for your own lawful operations during your active subscription term. No other rights are granted.

You may not copy, redistribute, reverse engineer, or create derivative works from any RTK USA data or software without express written permission.

10. Governing Law and Dispute Resolution

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

10.2 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES ("DISPUTE") SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, except that either party may bring claims in small claims court if the claims qualify.

Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable, in effect at the time of the dispute. The arbitration shall be conducted in Denton County, Texas, or remotely if both parties agree. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND RTK USA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Jury Trial Waiver

TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT (E.G., FOR INJUNCTIVE RELIEF OR SMALL CLAIMS), YOU AND RTK USA EACH WAIVE THE RIGHT TO A JURY TRIAL.

11. General Provisions

11.1 Modifications to This Agreement

RTK USA may update this Agreement from time to time. We will post the updated Terms at rtkusa.com with an updated effective date, and we will make reasonable efforts to notify active subscribers by email at least fourteen (14) days before material changes take effect. Your continued use of the service after the effective date of changes constitutes acceptance of the revised Agreement.

11.2 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, or understandings, whether written or oral. No terms contained in any Customer purchase order, request for proposal, or similar document shall modify or supplement this Agreement.

11.3 Government Customers

If you are a U.S. federal, state, or local government entity, your use is subject to the terms of this Agreement. No modifications to this Agreement are effective unless in a written amendment signed by an authorized representative of RTK USA. RTK USA makes no representations that its services satisfy any government procurement requirements.

11.4 Severability

If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, unenforceable, or contrary to law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

11.5 Waiver

RTK USA's failure to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision.

11.6 Assignment

You may not assign or transfer this Agreement or any rights hereunder without RTK USA's prior written consent. RTK USA may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets without your consent.

11.7 Force Majeure

RTK USA shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including without limitation acts of God, natural disasters, upstream network failures, internet infrastructure outages, cyberattacks, government actions, or labor disputes.

11.8 No Agency

Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between the parties. You have no authority to bind RTK USA in any respect.
